1. Acceptance of Terms
By accessing, browsing, or using the Taxora platform (“Service”), whether through our website, mobile application, or any associated services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service (“Terms”). These Terms constitute a legally binding agreement between you (“User,” “you,” or “your”) and Taxora (“Company,” “we,” “us,” or “our”), a company registered and operating under the laws of Jamaica.
If you do not agree with any part of these Terms, you must immediately cease using the Service. Your continued use of the Service following any modifications to these Terms constitutes your acceptance of such modifications. It is your responsibility to review these Terms periodically for changes.
We reserve the right to update, amend, or replace any part of these Terms at our sole discretion. When we make material changes, we will notify you by posting the updated Terms on this page and updating the “Effective Date” at the top. We may also send you an email notification for significant changes. Your continued use of the Service after such changes are posted constitutes your binding acceptance of the revised Terms.
2. Description of Service
Taxora is an AI-powered tax preparation and filing assistance platform designed specifically for individuals and businesses operating in Jamaica. The Service assists users with importing financial transactions, categorizing income and expenses, computing tax obligations (including income tax, NIS, NHT, Education Tax, and GCT), generating pre-filled PDF tax forms for submission to Tax Administration Jamaica (TAJ), and providing general informational guidance related to Jamaican tax obligations.
Important: Taxora is NOT any of the following:
- Not a tax advisory firm. Taxora does not provide personalised tax advice, tax planning strategies, or opinions on the tax treatment of specific transactions or arrangements.
- Not a firm of licensed tax practitioners. The Service is not operated by, and does not employ, licensed tax consultants, chartered accountants, or attorneys-at-law registered to practise tax law in Jamaica or any other jurisdiction.
- Not a substitute for professional tax advice. You should consult with a qualified tax professional, chartered accountant, or licensed tax practitioner for advice specific to your financial situation, particularly for complex transactions, disputes with TAJ, or matters involving significant sums.
- Not a government agency or affiliate of TAJ. Taxora is an independent, privately operated software platform. We are not affiliated with, endorsed by, or authorised by Tax Administration Jamaica, the Ministry of Finance and the Public Service, or any other government entity.
The Service is a software tool designed to assist you with the mechanical aspects of tax preparation. All output produced by Taxora, including calculations, form data, AI suggestions, and generated documents, should be treated as preliminary information that requires your independent review and verification before any submission to TAJ or reliance upon for any purpose.
3. Account Registration
To access certain features of the Service, you must create an account. By registering for an account, you represent and warrant that:
- You are at least eighteen (18) years of age, or the age of legal majority in your jurisdiction, whichever is greater.
- All information you provide during registration and throughout your use of the Service is truthful, accurate, current, and complete.
- You will promptly update your account information to maintain its accuracy and completeness.
- You are legally authorised to enter into these Terms and to use the Service in accordance with all applicable laws and regulations in Jamaica.
You are solely responsible for maintaining the confidentiality and security of your account credentials, including your password. You agree to notify us immediately of any unauthorised access to or use of your account. Taxora shall not be liable for any loss or damage arising from your failure to safeguard your account credentials.
Each individual is permitted to maintain only one (1) account on the platform. Creating multiple accounts to circumvent usage limits, exploit promotional credits, or for any other purpose is strictly prohibited. We reserve the right to suspend, disable, or terminate any accounts that we reasonably believe to be duplicates or to have been created in violation of these Terms, without prior notice and without liability to you.
4. User Responsibilities
This section outlines your critical responsibilities when using Taxora. You acknowledge and agree that Taxora is a tool to assist you with tax preparation, and that ultimate responsibility for the accuracy, completeness, and timeliness of your tax filings rests entirely with you.
4.1 Accuracy of Data Entered
You are solely and exclusively responsible for the accuracy, completeness, and integrity of all data, information, and documents that you enter into, upload to, or otherwise provide to the Service. This includes, but is not limited to, your personal details, Taxpayer Registration Number (TRN), National Insurance Scheme (NIS) number, business information, financial transactions, income figures, expense records, and any other data used in the preparation of your tax returns. Taxora processes the data you provide and cannot independently verify its accuracy. If you enter incorrect, incomplete, or misleading data, the outputs generated by the Service will reflect those inaccuracies.
4.2 Review and Verification of All Calculations
You must carefully review and independently verify all calculations, figures, totals, and results generated by the Service before submitting any tax return or relying on such outputs for any purpose. This includes reviewing income tax computations, NIS contributions, NHT levies, Education Tax amounts, GCT calculations, and any other derived figures. The numbers produced by Taxora are computational estimates and suggestions based on the data you have provided and the tax rules programmed into our system. They are not guaranteed to be accurate, and they do not constitute a professional opinion on your tax liability. You must satisfy yourself that all figures are correct before filing.
4.3 Verification of AI-Generated Suggestions
You must independently verify all outputs produced by our AI-powered features, including but not limited to transaction categorisations, expense classifications, income type suggestions, tax deduction recommendations, and any other automated suggestions. AI systems can and do make errors. A transaction categorised by the AI as a business expense may in fact be a personal expense, or vice versa. An income classification suggested by the AI may not accurately reflect the tax treatment applicable to your specific circumstances. You must not blindly accept AI outputs without review.
4.4 Filing Deadlines
You are solely responsible for ensuring that all tax returns, payments, and statutory filings are submitted to Tax Administration Jamaica (TAJ) by the applicable deadlines. While Taxora may provide deadline reminders or notifications as a convenience feature, these reminders are not guaranteed to be sent, received, or accurate. Taxora is not responsible if you miss a filing deadline, whether or not a reminder was sent, and shall not be liable for any penalties, interest, surcharges, or other consequences resulting from late or missed filings.
4.5 Record Keeping
You must maintain your own independent records of all financial transactions, tax computations, filed returns, and supporting documents. Taxora is a preparation tool, not a permanent record-keeping system. While we make reasonable efforts to preserve your data within the Service, we do not guarantee the indefinite retention, availability, or integrity of your data. You are responsible for maintaining backup copies of all records that you may need for tax compliance, audit purposes, or any other reason. Tax Administration Jamaica requires that records be kept for a minimum of six (6) years, and it is your sole responsibility to comply with this requirement independently of Taxora.
4.6 Correct Forms
You are responsible for ensuring that you are filing the correct tax forms for your specific circumstances. While Taxora provides guidance on which forms may be applicable to common business structures (such as S04 for self-employed individuals, S01 for employer monthly remittances, or GCT4A for GCT-registered businesses), you must independently confirm that the forms you file are appropriate for your tax obligations. Taxora shall not be liable if you file the wrong form or omit a required form.
4.7 Penalties, Interest, and Fines
You are solely responsible for any and all penalties, interest charges, fines, surcharges, additional assessments, or other financial consequences imposed by Tax Administration Jamaica or any other governmental authority in connection with your tax filings, whether such filings were prepared using Taxora or otherwise. Taxora shall have no liability whatsoever for any such amounts, regardless of whether the penalties or assessments arise from errors in data entry, calculation discrepancies, missed deadlines, incorrect form selection, or any other cause.
4.8 Estimates and Suggestions
All numbers, calculations, and figures generated by the Service, whether computed by our tax engine or suggested by our AI features, are estimates and suggestions only. They do not represent definitive tax liability determinations. Final responsibility for determining the correct amounts to report and pay lies entirely with you. You should cross-reference all outputs against your own records, applicable tax legislation, TAJ publications, and where appropriate, the advice of a qualified tax professional.
5. AI-Powered Features Disclaimer
Taxora incorporates artificial intelligence and machine learning technologies to provide features such as automatic transaction categorisation, expense classification, income analysis, tax computation suggestions, and conversational assistance through our AI chat feature. By using these AI-powered features, you acknowledge and agree to the following:
- Convenience only. AI-generated categorisations, suggestions, and classifications are provided solely as a convenience to assist you in preparing your tax returns. They are not authoritative determinations of the correct tax treatment for any transaction or financial event.
- AI errors are possible and expected. Artificial intelligence systems, by their nature, are probabilistic and may produce incorrect, incomplete, or misleading outputs. The AI may incorrectly categorise a business expense as personal, misclassify income types, fail to identify deductible expenses, or produce other errors. You must not rely on AI outputs without independent verification.
- Calculations are estimates. AI-generated tax calculations, including estimated tax liabilities, suggested quarterly payments, and projected refunds, are estimates only. They are based on the data you have provided, the tax rules programmed into our system, and the AI model's interpretation. Actual tax liabilities may differ materially from these estimates.
- Independent verification required. You must independently verify every output produced by our AI features before relying on it for any purpose, including but not limited to filing tax returns, making financial decisions, or determining your tax obligations.
- No liability for AI outputs. Taxora shall not be liable for any losses, damages, penalties, interest charges, additional assessments, or any other adverse consequences arising from or related to your reliance on AI-generated outputs, whether such reliance was reasonable or otherwise.
- Not tax advice. Nothing produced by our AI features constitutes tax advice, financial advice, legal advice, or any other form of professional advice. AI outputs should not be interpreted as recommendations regarding the tax treatment of any transaction, the applicability of any exemption or relief, or the optimal structuring of your financial affairs.
- Models may change. The AI models underlying our features are subject to change, updating, retraining, or replacement at any time without notice. Results produced by the AI may vary over time, even for identical inputs. Past performance or accuracy of AI outputs does not guarantee future accuracy or consistency.
- Scope limitations. Our AI features are designed to handle common tax scenarios for Jamaican taxpayers. The AI may not correctly handle unusual, complex, or edge-case tax situations, including but not limited to cross-border income, capital gains on specialised assets, trust income, estate matters, or transactions subject to special tax provisions.
6. Accuracy & Data Disclaimer
While Taxora strives to provide accurate and up-to-date information, you acknowledge and agree to the following important limitations:
6.1 Tax Rates and Thresholds
Tax rates, thresholds, exemptions, reliefs, and other parameters used in our calculations are updated periodically based on published information from Tax Administration Jamaica, the Ministry of Finance and the Public Service, and other official sources. However, there may be delays between the time a change is enacted or announced by the Government of Jamaica and the time it is reflected in our system. Taxora does not guarantee that the tax rates and thresholds used in its calculations are current, complete, or applicable to your specific situation at any given time. You are responsible for verifying that the rates applied to your computations are correct and current.
6.2 Calculation Accuracy
Taxora makes reasonable commercial efforts to ensure that its tax calculations are accurate based on the data provided and the tax rules programmed into the system. However, Taxora does not guarantee, warrant, or represent that any calculation produced by the Service is accurate, complete, or error-free. Software systems may contain bugs, rounding discrepancies, logic errors, or other defects that could affect calculation results. You must independently verify all calculations before submitting any return to TAJ.
6.3 PDF Form Generation
PDF tax forms generated by Taxora are created by programmatically filling official TAJ form templates with the data and calculations derived from your inputs. These generated forms may contain errors, including but not limited to: incorrectly placed data, truncated values, missing fields, formatting issues, or incorrect field mappings. You must carefully review every page and every field of any generated PDF form before signing, submitting, or otherwise relying upon it. Taxora shall not be liable for any errors, omissions, or inaccuracies in generated PDF forms.
6.4 Rejected Filings and Assessments
Taxora is not responsible for, and shall have no liability in connection with, any tax return that is rejected, questioned, audited, or reassessed by Tax Administration Jamaica or any other governmental authority, regardless of the reason for such rejection or assessment. This includes, without limitation, rejections due to calculation errors, data entry errors, incorrect form versions, missing information, or any other deficiency, whether or not such deficiency originated from the Service.
6.5 Complex Tax Situations
Jamaican tax law is complex and subject to interpretation. Taxora is designed to handle common tax scenarios for sole traders, employers, and self-employed individuals. For complex situations, including but not limited to multi-jurisdictional income, capital gains, trust and estate taxation, transfer pricing, related-party transactions, or disputes with TAJ, you should consult a licensed tax professional, chartered accountant, or attorney-at-law with expertise in Jamaican tax law. Taxora is not a substitute for professional advice in such matters.
6.6 Data Imports
When you import data into Taxora from external sources such as CSV files, Excel spreadsheets, or other systems, the imported data may contain errors, duplicates, inconsistencies, or formatting issues that originated in the source system. Taxora processes imported data as provided and cannot independently verify its accuracy or completeness. You are responsible for reviewing all imported data for accuracy after import and before using it for any tax computation or filing purpose.
7. Limitation of Liability
Please read this section carefully as it limits our liability to you.
To the maximum extent permitted by applicable law, the Service is provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express, implied, statutory, or otherwise. Taxora expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, and completeness.
Without limiting the foregoing, Taxora does not warrant that:
- The Service will meet your requirements or expectations.
- The Service will be uninterrupted, timely, secure, or error-free.
- Any calculations, results, or outputs produced by the Service will be accurate, reliable, or complete.
- Any defects or errors in the Service will be corrected.
- The Service will be compatible with all devices, browsers, or operating systems.
To the maximum extent permitted by applicable law, in no event shall Taxora, its directors, officers, employees, agents, affiliates, successors, or assigns be liable for any:
- Indirect, incidental, special, consequential, punitive, or exemplary damages of any kind.
- Tax penalties, interest charges, surcharges, fines, or additional assessments imposed by Tax Administration Jamaica or any other governmental authority.
- Loss of profits, revenue, business opportunities, goodwill, or anticipated savings.
- Loss of data, corruption of data, or costs of data recovery.
- Damages arising from the unauthorised access to or alteration of your data or transmissions.
- Damages arising from the failure of third-party services, systems, or integrations used in connection with the Service.
- Any other damages arising out of or related to your use of, or inability to use, the Service.
In no event shall Taxora's total aggregate liability to you for all claims arising out of or related to these Terms or the Service exceed the total amount of fees actually paid by you to Taxora during the twelve (12) months immediately preceding the event giving rise to the claim. If you have not paid any fees to Taxora during such period, Taxora's maximum aggregate liability shall be limited to one hundred Jamaican dollars (J$100.00).
The limitations in this section shall apply to the fullest extent permitted by applicable law, regardless of the legal theory upon which the claim is based, whether in contract, tort (including negligence), strict liability, or otherwise, and even if Taxora has been advised of the possibility of such damages.
8. Indemnification
You agree to indemnify, defend, and hold harmless Taxora, its directors, officers, employees, agents, affiliates, successors, and assigns from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or in connection with:
- Your use of the Service, including any data you enter, upload, or transmit through the Service.
- Your tax filings, returns, or payments, whether prepared using the Service or otherwise.
- Any inaccuracy, incompleteness, or error in the data, information, or documents you provide to the Service.
- Your breach of any provision of these Terms.
- Your violation of any applicable law, regulation, or governmental directive, including any Jamaican tax law or regulation.
- Any dispute between you and Tax Administration Jamaica or any other third party related to your tax obligations.
- Your failure to independently verify any output, calculation, or suggestion produced by the Service before relying on it.
This indemnification obligation shall survive the termination or expiration of these Terms and your use of the Service.
9. Intellectual Property
All content, materials, features, and functionality of the Service, including but not limited to the software, source code, algorithms, AI models, user interface designs, graphics, logos, trademarks, trade names, text, documentation, and all other intellectual property embodied in or associated with the Service, are and shall remain the exclusive property of Taxora or its licensors. These materials are protected by Jamaican and international copyright, trademark, patent, trade secret, and other intellectual property laws.
Subject to your compliance with these Terms, Taxora grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service solely for your personal or internal business tax preparation purposes. This licence does not grant you any right, title, or interest in the Service or any of its components beyond the limited right of use described herein.
You retain ownership of the data and content you provide to the Service. By uploading or entering data into the Service, you grant Taxora a limited, non-exclusive licence to use, process, and store such data solely for the purpose of providing the Service to you and improving our platform. We will not sell your data to third parties or use it for purposes unrelated to the provision and improvement of the Service.
10. Payment & Billing
Taxora offers a combination of subscription plans and a pay-as-you-go credit system. By purchasing a subscription or credits, you agree to the following terms:
- Subscription plans. Taxora offers tiered subscription plans (including Free, Sole Trader, and Company tiers) with varying features, credit allowances, and business limits. Details of each plan, including pricing and features, are available on our pricing page and are incorporated into these Terms by reference.
- Credits system. Certain features of the Service consume credits, including AI chat messages, transaction categorisation, tax computations, and PDF generation. Credit costs for each feature are published on our pricing page. Credits included with your subscription plan are refreshed at the start of each billing cycle and do not roll over to subsequent periods unless otherwise stated.
- Credit top-ups. You may purchase additional credits at any time through the Service. Top-up credits do not expire and are available until used. Once credits have been used to perform an action within the Service, they are non-refundable. Unused top-up credits may be refunded at our discretion upon request, subject to our refund policy.
- Currency. All prices displayed on the Service are denominated in Jamaican Dollars (JMD) unless otherwise expressly stated. You are responsible for any currency conversion fees, bank charges, or other costs associated with your payment method.
- Pricing changes. Taxora reserves the right to change its pricing, including subscription fees and credit costs, at any time. We will provide you with at least thirty (30) days' notice of any price increase. Your continued use of the Service after a price change takes effect constitutes your acceptance of the new pricing.
- Payment processing. Payments are processed through third-party payment processors. Taxora does not store your full payment card details. You agree to comply with the terms and conditions of the applicable payment processor.
- Failed payments. If a payment fails, we may suspend your access to paid features until the payment is successfully processed. We will make reasonable efforts to notify you of failed payments and provide an opportunity to update your payment information.
11. Subscription & Cancellation
The following terms govern the billing cycle and cancellation of your Taxora subscription:
- Billing cycle. Subscriptions are billed either monthly or annually, depending on the plan you select. Monthly subscriptions are billed on the same calendar day each month. Annual subscriptions are billed on the anniversary of your initial subscription date.
- Automatic renewal. Unless you cancel your subscription before the end of your current billing period, your subscription will automatically renew for a subsequent period of the same duration at the then-current price.
- Cancellation. You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. You will continue to have access to paid features until the end of the period for which you have already paid. No refunds or credits will be issued for partial billing periods.
- Downgrade. If you downgrade from a paid plan to the free tier, you will retain access to paid features until the end of your current billing period. After that, your account will be subject to the limitations of the free tier, including reduced credit allowances and business limits.
- Data retention after cancellation. Upon cancellation or downgrade, your data will be retained in accordance with our data retention policy and applicable legal requirements. We may retain certain data for a reasonable period to comply with legal obligations, resolve disputes, or enforce our agreements. You may request deletion of your data, subject to our legal retention obligations.
12. Prohibited Uses
You agree not to use the Service for any purpose that is unlawful, prohibited by these Terms, or that could damage, disable, or impair the Service. Specifically, you shall not:
- Use the Service to prepare fraudulent, false, or misleading tax returns or to evade any tax obligation.
- Attempt to gain unauthorised access to any part of the Service, other user accounts, or any systems or networks connected to the Service.
- Use automated scripts, bots, scrapers, crawlers, or similar technologies to access, collect data from, or interact with the Service without our express written permission.
- Share your account credentials with any third party or allow multiple individuals to use a single account.
- Upload, transmit, or introduce any viruses, malware, trojan horses, worms, or other malicious code or content to the Service.
- Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying structure of the Service or any of its components.
- Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service for commercial purposes without our express written consent.
- Use the Service to store or transmit content that infringes the intellectual property rights or privacy rights of any third party.
- Interfere with or disrupt the integrity, performance, or availability of the Service or the data contained therein.
- Use the Service to provide tax preparation services to third parties on a commercial basis without a separate agreement with Taxora.
13. Service Availability
Taxora aims to provide a reliable and consistently available service. However, we do not guarantee that the Service will be available at all times or without interruption. The Service may be temporarily unavailable due to:
- Scheduled maintenance, updates, or upgrades, which we will endeavour to carry out during periods of low usage and with reasonable advance notice where practicable.
- Unscheduled downtime resulting from technical failures, software bugs, server issues, or other operational problems.
- Factors beyond our reasonable control, including but not limited to natural disasters, power outages, telecommunications failures, cyberattacks, acts of government, epidemics, pandemics, wars, civil unrest, or other force majeure events.
- Actions by third-party service providers upon which the Service depends, including cloud hosting providers, payment processors, and AI model providers.
Taxora shall not be liable for any loss, damage, or inconvenience arising from the unavailability, suspension, or discontinuation of the Service or any part thereof, whether temporary or permanent. You acknowledge that it is your responsibility to plan your tax filing activities with sufficient lead time to account for potential service interruptions, particularly near filing deadlines.
14. Data & Privacy
Your privacy is important to us. Our collection, use, storage, and protection of your personal data and information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your data as described in our Privacy Policy.
You acknowledge that the Service processes sensitive financial and tax-related data on your behalf. While we implement industry-standard security measures to protect your data, no method of electronic transmission or storage is completely secure. You use the Service and transmit data at your own risk. We encourage you to maintain your own backup copies of all important financial records and tax documents.
We may use anonymised, aggregated data derived from your use of the Service for analytical purposes, product improvement, and research, provided that such data cannot reasonably be used to identify you or any individual taxpayer.
15. Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Jamaica, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be subject to the exclusive jurisdiction of the courts of Kingston, Jamaica.
Before initiating any formal legal proceedings, the parties agree to attempt to resolve any dispute through good-faith negotiation. You agree to first contact Taxora at the email address provided in Section 18 (Contact Us) with a written description of your dispute, including all relevant facts and your requested resolution. Taxora will endeavour to respond within fourteen (14) business days. The parties shall attempt to resolve the dispute through informal negotiation for a period of at least thirty (30) days from the date of the initial written notice before pursuing any formal legal proceedings.
You agree that any legal action or proceeding relating to these Terms must be commenced within one (1) year after the cause of action arises. Any claim not brought within this period shall be permanently barred.
16. Termination
Taxora reserves the right to suspend, restrict, or terminate your account and access to the Service at any time, with or without notice, for any reason, including but not limited to:
- Violation of any provision of these Terms.
- Conduct that we reasonably believe to be harmful to other users, the Service, or Taxora's business interests.
- Use of the Service for fraudulent, illegal, or unauthorised purposes.
- Non-payment of applicable fees or charges.
- Extended periods of inactivity.
- Requests from law enforcement or other government agencies.
You may terminate your account at any time by contacting us or using the account deletion feature in your account settings. Upon termination, your right to use the Service will immediately cease.
The following provisions of these Terms shall survive any termination or expiration: User Responsibilities (Section 4), AI-Powered Features Disclaimer (Section 5), Accuracy and Data Disclaimer (Section 6), Limitation of Liability (Section 7), Indemnification (Section 8), Intellectual Property (Section 9), Dispute Resolution (Section 15), and any other provisions that by their nature are intended to survive termination.
17. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision of these Terms. The remaining provisions shall continue in full force and effect, and the invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent as closely as possible.
The failure of Taxora to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms shall be effective only if made in writing and signed by an authorised representative of Taxora.
These Terms, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and Taxora regarding your use of the Service and supersede all prior or contemporaneous communications, proposals, and representations, whether oral or written, between you and Taxora with respect to the Service.
